Partner Terms of Business
The terms on which qualified local firms take instructions from SXB Global.
Last updated: October 2026
These terms are published so that firms can apply to join the network. They have not yet been settled by a qualified legal adviser. The written instruction issued for a specific matter prevails over this page wherever the two differ.
1. Who you are contracting with
Your contract is with SXB Ltd, registered in England and Wales under number 16679668, trading as SXB Global. In these terms “we” means SXB Ltd and “you” means the firm accepting instructions from us.
These terms are between businesses. Nothing in them is intended to benefit any third party.
2. Your standing
You confirm that your firm is authorised and, where applicable, regulated to carry out the work it is instructed to carry out in its own jurisdiction, that it holds the professional indemnity cover required there, and that the people doing the work are qualified to do it.
You will tell us without delay if any of that ceases to be true, if your firm is subject to a regulatory investigation touching the work, or if your cover lapses.
3. Nature of the relationship
You act as an independent contractor on your own professional authority. Nothing in these terms creates a partnership, joint venture, agency or employment relationship, and neither of us may hold itself out as able to bind the other.
These terms do not give you any exclusivity in your jurisdiction, and they do not oblige us to refer any particular volume of work or any work at all.
4. How instructions work
Each matter is instructed separately and in writing, through the partner portal or by email. You are free to decline a matter; if you accept it, you accept it on these terms together with anything specific set out in that instruction.
We remain the client’s point of contact. You correspond with the creditor only where we ask you to. You will not take any step that commits the creditor - accepting a settlement, discontinuing, or agreeing a payment plan - without our written agreement.
5. Service levels
On each matter you will acknowledge the instruction within two business days, provide a first substantive report within ten business days, notify us of any payment received within two business days, and keep the file updated as material steps are taken.
If a deadline in the matter cannot be met, tell us before it passes rather than after.
6. Your fees
Your fee for a matter is agreed in writing before you begin and is set out in the instruction. Unless the instruction says otherwise, fees and disbursements are payable by us and not by the creditor, and you will not invoice the creditor directly.
Disbursements above the amount agreed in the instruction need our written approval before they are incurred.
7. Money recovered
Where sums are recovered into your client account, you will notify us immediately, hold them to the creditor’s order, and remit them in accordance with our written instruction and your own regulatory rules. You will not set off your fees against recovered sums without our written agreement.
8. Conflicts of interest
Before accepting a matter you will run your own conflict check. If a conflict exists or arises, tell us at once and stop work on the matter until it is resolved.
9. Confidentiality
Everything we send you about a matter - the creditor, the debtor, the documents and the commercial terms - is confidential. Use it only to carry out the instruction, disclose it only to those in your firm who need it, and return or destroy it when the matter ends if we ask you to.
10. Data protection
Each of us is an independent controller of the personal data it processes in connection with a matter. You will process that data only for the purposes of the instruction, apply appropriate security, and tell us without undue delay of any personal data breach affecting it.
[REVIEW] The controller/processor characterisation, international transfer mechanism and retention periods require professional confirmation before use.
11. No circumvention
For the duration of a matter and for twelve months after it closes, you will not solicit or accept instructions on that same debt directly from the creditor, or from anyone connected to the creditor, except through us. This does not restrict work you were already doing for that creditor before we instructed you, and it does not restrict unrelated work.
12. Ending the relationship
Either of us may end the relationship by written notice. Matters already instructed continue on these terms until they are closed or formally transferred, and fees already earned remain payable.
We may suspend or remove a firm from the network at any time, including where the service levels above are not met or where your standing under clause 2 changes.
13. Governing law
These terms, and any dispute arising from them, are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
