Debt Collection in Peru

Peru did something few countries have: it made the invoice itself a negotiable instrument. Under the factura negociable regime a properly issued commercial invoice, once accepted or deemed accepted, becomes a transferable title enforceable through execution proceedings - no separate promissory note, no proving the underlying contract.

The Invoice as an Enforceable Title

Peru's factura negociable legislation attaches a third copy to the commercial invoice which, once the buyer accepts it or the period for objecting expires without objection, becomes a negotiable title in the creditor's hands.

The consequences are substantial. The holder can enforce it directly through execution proceedings without proving the underlying supply contract; it can be transferred or discounted to a financier; and the buyer's window to raise objections is defined and short. A supplier who issues invoices correctly under the regime is in a materially stronger position than one who does not - and many foreign suppliers do not, simply because they were never told.

Whether a given invoice qualifies depends on how it was issued and on the acceptance position. That is the first thing we check on a Peruvian file.

Execution Proceedings

Where an enforceable title exists - a factura negociable, a letra de cambio or a pagaré - the proceso único de ejecución is available. The court orders payment and can order attachment, and the debtor's grounds of opposition are confined by statute rather than open.

Where no title exists, the claim proceeds as an ordinary action requiring the contract and the supply to be proved. The difference in duration is measured in years, which is why the documentary position determines the whole strategy.

Arbitration Is Widely Used

Peru is a party to the New York Convention and arbitration is deeply embedded in Peruvian commercial and construction practice, with established institutions in Lima. Where a contract provides for it, the route is generally faster than the courts and the award enforceable across Convention states.

Periods Depend on the Title

Limitation varies according to the instrument relied on, with actions on negotiable instruments subject to shorter periods than ordinary contractual obligations. A factura negociable left unenforced can lose its executive character while the underlying claim survives by an ordinary route - the familiar pattern across Latin America, and the reason aged files are worth assessing rather than assuming.
