Landlocked Trade and Transit Finance
Every imported good in Uganda arrives through a neighbouring country's port and travels several hundred kilometres by road. Importers therefore carry weeks of financing between paying for goods and selling them, and any disruption at a border, on a corridor or in clearing extends that gap.
For a foreign supplier the practical consequence is that a Ugandan debtor's difficulty often has an identifiable external cause. Establishing whether the goods cleared, when they arrived and whether they have been sold tells you more about recovery prospects than the debtor's explanation does.
Commercial Division and Mediation
Commercial claims of substance go to the Commercial Division of the High Court in Kampala, which handles business disputes on a dedicated list. Uganda operates court-annexed mediation as a stage before trial, and commercial matters are routinely referred.
As elsewhere in East Africa, the mediation is supervised and time-limited rather than informal, and a settlement reached there is recorded and enforceable. A creditor arriving with a complete file negotiates from a position the debtor can assess accurately, which is what makes these sessions productive.
Summary Suit
For a liquidated claim on a written contract, summary suit procedure requires the defendant to apply for leave to appear and defend, refused where no triable issue is disclosed. It is the appropriate route for a documented supply debt and the preparation doubles as mediation preparation.
Six Years
The Limitation Act gives six years for a contract claim from accrual of the cause of action, with acknowledgement or part payment restarting the period. Six years is comfortable, but transit-related documentation disperses among carriers, clearing agents and warehouses over time, so evidential quality declines faster than the deadline approaches.
Shilling Conversion
Conversion and outbound transfer of a recovery are ordinary banking operations with documentation evidencing the trade. Uganda does not operate the allocation regimes that constrain recovery in some neighbouring markets, so the currency dimension is administrative.

The Winding-Up Route
Where a debt is undisputed and due, a statutory demand can be served on the debtor company. If it is not paid within the statutory period and no substantial dispute is raised, the route to a winding-up petition opens. For a Ugandan company that intends to keep trading that is a serious commercial consequence, and it frequently produces payment from debtors with no genuine defence without proceedings ever being issued.
The instrument is powerful precisely because it is blunt, which is also why it is misused. Where a genuine dispute exists, using it is an abuse and carries costs consequences.
